JOHN SEVERINO ANNOUNCES EXECUTIVE STRUCTURE OF THE CBS TELEVISION STATIONS DIVISION

Functions and Organizations of CBS and Paramount Stations Are Combined

The executive structure of the new CBS Television Stations Division, combining the functions and organizations of the newly merged CBS and Paramount Television Stations, was announced today by John Severino, President of the Division.

The new CBS Television Stations Division was formed on May 24, 2000. It consists of 35 television stations reaching the 13 largest and 18 of the top 20 television markets in the United States, and includes duopolies in six major markets, with both CBS and UPN owned and operated network stations in Philadelphia, Boston, Dallas, Detroit, Miami and Pittsburgh.

"This unparalleled group of professionals will be working with our excellent staff and experienced roster of local station managers to ensure the financial performance of our stations, the excellence of our news and other local programming, and the way we deliver on our continuing commitment to local public service."

Seven key executives have been named to form the core of the new management team.

Greg Schaefer, Executive Vice President, Sales, and President, CBS Spot Sales, will lead the effort in Sales, groupwide.

Joel Cheatwood, Executive Vice President, News, and News Director of WCBS-TV New York, will coordinate the group's News programming.

John Moczulski, Executive Vice President, Programming and Marketing, CBS Television Stations, will direct the CBS owned stations in that function.

Raymond Rajewski, Executive Vice President, Programming and Marketing, Paramount Television Stations, will be responsible for the Programming and Marketing at the Paramount Television Stations.

Anton Guitano, Senior Vice President, Finance, will oversee the Division's financial operations.

John D. Moran, Vice President of Human Resources, will manage compensation, employee relations and other personnel issues for the combined group.

Martin P. Messinger, Senior Vice President and Deputy General Counsel, CBS Television, will be responsible for all legal matters for the Division. Mr. Messinger will also continue to report to Louis Briskman, Executive Vice President and General Counsel, CBS Television.

Reporting to Mr. Schaefer are the newly promoted Bob Kaplan, Vice President and General Manager, CBS Spot Sales; Jon White, Vice President, Paramount Station Group Sales, and Director, Viacom Group Sales, and Robin Sheingold, Director of Marketing and Promotion.

Reporting to Mr. Moczulski and Mr. Rajewski are Tom Zappala, Senior Vice President of Programming, and Barbara Chacon, Vice President of Production.

Reporting to Mr. Guitano are Matt Knight, Senior Vice President, Paramount Television Stations; Michael Wittman, Vice President and Controller, CBS Television Stations, and Paul Puccio, Vice President, Engineering, CBS Television Stations.

Biographical Information

Greg Schaefer was named to his present post in June 2000. He is responsible for all national advertising sales and for overseeing the individual station sales efforts. Since January 2000, he has served as Station Manager, WCBS-TV New York, after having been Director of Sales since 1997. Prior to that, he served as Executive Vice President, CBS Television Sales, and held a variety of sales positions with Group W Television Sales, including Vice President, Operations; Vice President; New York Manager, and Sales Manager.

Joel Cheatwood was appointed to his current post in February 2000, charged with developing and implementing group-wide news initiatives. He had been Station Manager at KYW-TV, the CBS owned television station in Philadelphia, since September 1998. He joined CBS from NBC, where he was Vice President, Program Development, for the Stations Division and Vice President, News and Creative Services, WMAQ-TV Chicago. Prior to that, he held executive news and programming posts at Sunbeam Television Corporation (WHDH-TV Boston and WSVN-TV Miami), KTTV-TV Los Angeles, WSVN-TV Miami and other stations.

John Moczulski was named Vice President, Programming and Marketing, CBS Television Stations, in August 1999, responsible for all program development, acquisitions and scheduling as well as marketing, on-air promotion, advertising and cross-promotions. Prior to that, he was Senior Vice President, Marketing, and Senior Vice President, Features/Syndicated Series, for Columbia TriStar Television and held programming and marketing positions at the ABC and NBC owned television stations.

Raymond Rajewski has been Executive Vice President, Paramount Stations Group, supervising the operations of the 19 Paramount owned stations. He joined the Group as a Senior Vice President in 1991. Prior to that, he was Senior Vice President at Hanna Barbera Productions, supervising financial, management, personnel and administration; Senior Vice President and CFO of Taft Entertainment Company, and Vice President and General Manager, WGR-TV Buffalo.

Anton Guitano was appointed Vice President, Finance, CBS Television Stations, in April 1996, overseeing all financial matters. His 22 years of experience at CBS include tours as Controller, CBS Television Network and CBS Television Stations, and Vice President, Internal Audit, for CBS. Inc.

John D. Moran became Vice President, Human Resources, for the CBS Radio and Television stations with the merger of Westinghouse and CBS in 1995. He joined Westinghouse Broadcasting in 1974 as Director of Labor Relations and later served as Vice President, Business Affairs, Westinghouse Broadcasting/Group W, and then Vice President, Human Resources and Administration. Prior to that, he worked in industry as a labor relations attorney.

Martin P. Messinger was named to his current post in February 1998. He joined the CBS Law Department as Senior Vice President and Deputy General Counsel, CBS Inc., in January 1996. Prior to that, he was Vice President and General Counsel of Westinghouse Broadcasting and Vice President and Chief Counsel of Group W Television, Group W Radio and Group W Productions. Before joining Group W, he practiced corporate law at the New York firm of Sullivan & Cromwell.
